Associate General Counsel, Freddie Mac

Position Overview

The Single-Family Mortgage Servicing Transactions Group is seeking an Associate General Counsel to join their legal staff. The attorney will provide legal advice to internal clients on a broad range of legal matters related to Freddie Mac as a business entity, and will also manage outside counsel. The hire will primarily support the single-family capital markets, single-family counterparty credit risk management and single-family mortgage servicing performance business areas with an emphasis on transactions.

Responsibilities Include:

  • Negotiate and draft complex commercial agreements, including non-traditional financing arrangements and credit enhancements such as mortgage insurance and credit risk transfers
  • Negotiate and document transactions relating to the purchase and sale of residential mortgage loan portfolios and of mortgage loan servicing
  • Negotiate and document transactions relating to financings secured by mortgage loan servicing and advance reimbursements
  • Understand Freddie Mac’s Single-Family Seller/Servicer Guide (including knowledge of the representations, warranties, covenants and legal remedies set forth in the Guide)
  • Understand intercreditor agreements, participations and loan syndications, including familiarity with lien perfection, bankruptcy and insolvency considerations
  • Advisory support to internal clients on real estate issues

Qualifications

  • Typically has 8+ years of relevant legal experience in a sophisticated practice, either in-house with a well-established bank, mortgage company or real estate company, or with a top tier law firm
  • Juris Doctor (JD) degree; membership in good standing in a state Bar
  • Excellent analytical, strategic, legal research, writing and advocacy skills
  • Ability to effectively manage numerous issues across multiple areas and set priorities independently

  • Ability to create and maintain strong collaborative relationships with colleagues and clients
