Purpose of Position The University of Texas System Office of General Counsel, which advises the UT System’s 14 academic and health-related institutions, seeks a versatile attorney with particular experience in real estate law to provide legal advice, counsel, and representation on real estate matters. The ideal candidate will also be eager to collaborate and problem-solve with clients and team members on other legal issues.

DESCRIPTION:

Large non-profit organization seeking attorney with business, governance, and intellectual property experience. The Associate General Counsel has first line responsibility for work in several substantive legal areas, and sufficient experience and skill to function and handle many legal matters which require dealing independently with APA employees, APA Board, Council, APA Divisions, APA Committees, outside legal counsel, outside parties and courts. Works closely with the Deputy General Counsel (“DGC”) and General Counsel (“GC”) in providing general legal advice and representation to APA.

RESPONSIBILITIES:

Serves as APA’s lead attorney in contract law and risk management for over $75 million in contract and grant obligations through the review and approval of all legal contracts entered into by APA, negotiating and drafting contracts with third parties, drafting and review of copyright assignments, drafting and review of database software licensing agreements and other publishing contracts, review of government and private grants and contracts for funding of APA projects and personnel to assure compliance with governing regulations, business negotiations and commercial transactions.

Handles intellectual property matters regarding the protection of APA trademark and copyright registrations (including oversight of outside counsel); develops and oversees legal compliance programs in including conflict of interest forms, policies and compliance, document retention policies, web policies regarding privacy and terms of use, listserv rules, Sarbanes Oxley compliance (whistleblower and document retention matters), managing contract database, providing advice to APA staff and governance as required; acts as liaison for issues on technology with MIS and association

Works closely with APA Divisions providing legal advice and guidance on corporate and governance issues, including fiduciary duty, limits of authority, conflict of interest, risk management education and orientation, and publications.

Mid-Level Electric Associate - Regulatory - Washington, DC

The firm is seeking a mid-level associate (3-6 years of experience) with demonstrated electric regulatory experience. The ideal candidate has aptitude for detailed work on energy regulatory and policy matters, particularly the interpretation and application of the Federal Power Act to wholesale markets and bulk transmission system operations.

Preferred skills and qualifications:

o    Foundational knowledge of the Federal Power Act, the Public Utility Regulatory Policies Act (PURPA) and other federal energy laws

o    Experience in administrative litigation and settlement matters before FERC

o    Knowledge of, and experience with: (i) FERC cost-of-service ratemaking policies and practices; (ii) open access transmission service and interconnection matters; (iii) market-based rate authorizations; and (iv) market rules for wholesale energy, capacity and ancillary services

About the Office:

Job Description: 

The Intermittent Legal Advisor (ILA) will work under the auspices of the United States Embassy in Kinshasa, Democratic Republic of the Congo (DRC) representing the Department of Justice and OPDAT in the implementation of the OPDAT-DRC justice sector assistance program. This program will be implemented on a TDY basis, based out of the United State of America. The ILA will develop capacity building programs and mentor justice sector personnel with a focus on combating public corruption, particularly in connection with financial crimes, organized crime, money laundering, mutual legal assistance, and asset recovery. The ILA will work closely with the Congolese Agency for the Prevention and Fight Against Corruption (APLC), other partners working in this area, and host nation counterparts. The ILA will also develop tailored training curriculum, provide mentorship to APLC personnel, judges, and government stakeholders; facilitate information sharing; and coordinate interagency engagements. The ILA will be expected to provide analysis of and advice on legislation, procedures, and policies relating to corruption and financial crimes, with the goal of strengthening compliance with international standards and norms. The position will also involve coordination with other OPDAT assistance programs in the region.
